Lawn aeration involves making holes in the lawn by pushing a rod into it. Aeration provides the following benefits: oxygen gets to the roots and the soil allowing it to "breathe", fertilizers and nutrients get to the root system, water is able to better soak the soil and reach the root system and tight, compacted soil is loosened allowing the root system to grow.
Overseeding lawns means you are sowing seed over exisiting grass in order to fill the bare patches. Overseeding is a fast, inexpensive way to bring your lawn back to its lush, green, healthy self without tearing everything out and starting over.
